These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Partner") and PubRev+ LLC ("PubRev+," "we," "us," or "our") governing your access to and use of the PubRev+ website at pubrevplus.com, the PubRev+ supply-side platform, and all related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your organization. By using the Services, you represent and warrant that you meet these requirements.

3. Description of Services

PubRev+ operates a supply-side platform ("SSP") that connects digital publishers and content owners with advertising demand sources, including demand-side platforms (DSPs), ad networks, and direct advertisers. Our Services facilitate the buying and selling of digital advertising inventory through programmatic channels, including but not limited to:

  • Connected TV (CTV) and over-the-top (OTT) ad serving
  • In-app mobile advertising
  • Display and video ad transactions
  • Real-time bidding (RTB) and private marketplace (PMP) deals
  • Reporting, analytics, and yield optimization tools

4. Account Registration and Security

Certain features of the Services require you to register an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your login credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards. You will not:

  • Submit or facilitate fraudulent, invalid, or non-human traffic
  • Misrepresent your inventory, traffic sources, domain ownership, or business identity
  • Tamper with, circumvent, or interfere with the operation of the platform
  • Use the Services to distribute malware, engage in domain spoofing, or conduct ad injection
  • Violate any applicable advertising industry standards, including those set by the IAB Tech Lab, TAG, or the Media Rating Council (MRC)
  • Use the Services in connection with inventory that promotes illegal activity, hate speech, or content harmful to minors
  • Attempt to reverse engineer, decompile, or extract source code from our platform

6. Supply Chain Transparency

If you are a publisher or supply partner, you agree to:

  • Maintain a valid and accurate ads.txt and/or app-ads.txt file that includes PubRev+ as an authorized seller
  • Accurately represent your inventory in bid requests, including domain, bundle ID, content categories, and device information
  • Cooperate with PubRev+ in maintaining sellers.json records and supply chain object (schain) integrity
  • Promptly notify PubRev+ of any changes to your inventory, ownership, or domain structure that may affect supply chain verification

7. Demand Partner Obligations

If you are a demand partner (DSP, ad network, or advertiser), you agree to:

  • Submit only advertisements that comply with all applicable laws and advertising standards
  • Not serve ads that contain malware, auto-redirects, or deceptive content
  • Respect publisher-defined restrictions on ad categories, creative formats, and landing pages
  • Process bid requests and ad serving within the timeframes specified by PubRev+
  • Settle invoices according to the payment terms specified in your insertion order or platform agreement

8. Payment Terms

Payment terms, rates, and revenue share percentages are established in separate insertion orders, platform agreements, or as displayed within the PubRev+ dashboard. Unless otherwise agreed in writing:

  • Publisher payments are issued on a Net 60 basis from the end of the month in which revenue is earned, subject to receipt of payment from the applicable demand source
  • Demand partner invoices are due Net 30 from the date of invoice
  • PubRev+ reserves the right to withhold payment if it reasonably suspects fraudulent activity, invalid traffic, or a violation of these Terms, pending investigation
  • All amounts are in U.S. dollars unless otherwise specified

9. Intellectual Property

The PubRev+ name, logo, platform, software, website design, content, and all related intellectual property are owned by PubRev+ LLC or its licensors and are protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

You retain all rights to your own content and inventory. By using the Services, you grant PubRev+ a non-exclusive, worldwide, royalty-free license to use, display, and transmit your content and inventory data solely as necessary to provide the Services.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Services, including but not limited to pricing, business strategies, technology, and partner relationships. This obligation survives the termination of these Terms for a period of two (2) years.

11. Data Privacy

Our collection and use of information is governed by our Privacy Policy, which is incorporated by reference into these Terms. You agree to comply with all applicable data protection and privacy laws in connection with your use of the Services, including the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR) where applicable, and the Children's Online Privacy Protection Act (COPPA).

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PUBREV+ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PUBREV+, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY OR TO YOU THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless PubRev+ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or inventory you provide through the platform.

15. Term and Termination

These Terms are effective as of the date you first access the Services and continue until terminated. Either party may terminate the relationship by providing thirty (30) days' written notice to the other party. PubRev+ may immediately suspend or terminate your access if you breach these Terms or engage in conduct that we reasonably determine may harm PubRev+, our partners, or our platform.

Upon termination, all outstanding payment obligations survive, along with any provisions that by their nature should survive termination (including confidentiality, limitation of liability, indemnification, and dispute resolution).

16. Modifications

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, we will provide notice through the platform or by email. Your continued use of the Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

18. General Provisions

  • Entire Agreement. These Terms, together with any applicable insertion orders and our Privacy Policy, constitute the entire agreement between you and PubRev+ with respect to the Services.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. PubRev+ may assign its rights and obligations without restriction.
  • Force Majeure. Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, or internet disruptions.
